Website Services Agreement

This Agreement is between HD Signals LLC, a Texas limited liability company doing business as Slacked.co (“Company,” “we,” “us”), located at 13809 Research Blvd. STE 500 PMB 90033, Austin, TX 78750, and the individual or entity that purchases services through slacked.co (“Client,” “you”).

Depending on the plan purchased, Services may include website design and development, copywriting, graphic design, social media creatives, blog content, AI assistant setup, ongoing website maintenance, AI plans and audits, build sprints, and SMS automation.

The specific deliverables and scope are defined by the plan selected at checkout. All services are described on slacked.co at the time of purchase. We reserve the right to modify service offerings with reasonable notice to existing clients.

You acknowledge and agree that Slacked.co uses artificial intelligence tools, automation, and AI-generated content in the delivery of services. This is how we deliver high-quality work at competitive prices.

All AI-generated deliverables are reviewed for quality before delivery. You will have the opportunity to review all work and request revisions within the bounds of your plan. Your satisfaction is our goal — we stand behind the output.

Your content: You retain full ownership of all text, images, logos, and content you provide to us.

Deliverables: Upon receipt of full payment, we grant you a perpetual, non-exclusive license to use all deliverables (website code, graphics, copy) for your business purposes. For subscription plans, this license remains active while your subscription is current.

If you cancel: Your license to use deliverables created under a subscription plan terminates when your subscription ends. One-time purchase deliverables remain yours permanently once fully paid.

Our tools: We retain ownership of our proprietary tools, templates, frameworks, and processes used to create your deliverables.

If Slacked.co hosts your website: you understand the site is hosted on our infrastructure. You may migrate your site at any time by requesting an export. We will provide your site files within 10 business days of a migration request.

Domains registered through or transferred to Slacked.co remain your property. Upon cancellation, we will transfer domain management to you within 5 business days at no charge.

We are not responsible for domain renewals you manage independently. Hosting service is contingent on your subscription remaining current.

All fees are due in full at the time of purchase or per the recurring billing schedule for subscription plans. Prices are in US Dollars.

One-time projects: Full payment due at checkout. Work begins after payment is received.

Monthly subscriptions: Billed automatically each month. If your card declines, we will retry for 3 days before pausing service. You will be notified by email before service is paused.

Late payments: Accounts more than 30 days past due may have deliverables held and service paused until payment is received.

No refunds once work begins. Work is considered begun when: (a) your onboarding form has been submitted, or (b) the first deliverable has entered production, whichever occurs first.

If no work has begun, you may request a full refund within 48 hours of purchase by emailing [email protected].

Subscriptions: You may cancel anytime. Cancellation takes effect at the end of the current billing period. No prorated refunds for partial months.

AI Plan & Audit guarantee (14 days). If the AI Plan & Audit didn't give you at least one thing worth doing, ask for a refund within 14 days of the day we deliver it and we'll refund what you paid for it in full. Just reply to the delivery email or email [email protected]. This guarantee is limited to one refund per customer and applies only to the AI Plan & Audit. It does not apply to the Build Sprint, monthly plans, packs, kits or any other service, which follow the rest of this section.

Disputes must be raised by emailing [email protected]. We will make reasonable efforts to resolve any dissatisfaction before any refund request is escalated.

We don't guarantee results. Our plans, audits, builds, automations, packs and reports are our best work and advice, based on how we run our own businesses. They are not a promise of any particular outcome, including revenue, income, profit, leads, customers, rankings, traffic, savings or time saved. Estimates we give (for example “about 3 hours a week”) are rough estimates, not commitments. Results depend on many things outside our control, including your market, your effort and other people's decisions.

Examples and numbers we publish (such as our live report) are from our own businesses and are not typical. Nothing we provide is legal, tax, financial or investment advice. You decide what to do with our work, and you approve anything that touches your money, logins or customers before it goes live.

Each plan includes a defined number of revision rounds, as listed on the plan description at checkout. A “revision round” is one consolidated batch of feedback submitted through your client portal.

Revisions are for refinements to the original scope, not redesigns or scope changes. Requests that substantially change the original brief may be quoted as additional work.

Revision requests must be submitted within 30 days of delivery. After 30 days, deliverables are considered approved.

You agree to: (a) provide accurate information and content when requested; (b) respond to communications within 5 business days; (c) provide feedback on deliverables within the revision window; (d) not use deliverables for unlawful purposes; (e) not resell our services without written permission.

Delays caused by your failure to respond or provide required content are not our responsibility and will extend project timelines accordingly.

You represent that all content you provide to us (text, images, logos, trademarks) is owned by you or you have the right to use it. You indemnify us against any claims arising from content you provide.

We may use stock images, fonts, and third-party libraries subject to their respective licenses. We will not knowingly use content that infringes third-party rights.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HD SIGNALS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

We treat your business information as confidential and will not disclose it to third parties except as necessary to perform services (e.g., hosting providers) or as required by law. We may list your business as a client reference or in our portfolio unless you request otherwise in writing.

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising from this Agreement shall be resolved by binding arbitration in Travis County, Texas, under the rules of the American Arbitration Association. Either party may seek injunctive relief in a Texas court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration against HD Signals LLC.

By completing a purchase on slacked.co, you acknowledge that you have read, understood, and agree to this Website Services Agreement. This Agreement, together with your order details, constitutes the entire agreement between you and HD Signals LLC for the services purchased.

We reserve the right to update this Agreement with 30 days' notice. Continued use of services after notice constitutes acceptance of the updated terms.
